EULA - End User License Agreement

SOFTWARE LICENSE AGREEMENT, TERMS AND CONDITIONS

In no event shall Custom-DB or anyone else who has been involved in the creation, production, or delivery of the SOFTWARE be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE, even if Custom-DB has been advised of the possibility of such damages.

The SOFTWARE is provided "as is" and without warranty of any kind, either express or implied, including, without limitation, the implied warranties of fitness for a particular purpose. The entire risk arising out of the use of or inability to use the SOFTWARE remains with the user.

If you want to use the SOFTWARE on more than one computer, you must either seek individual licenses for each computer or purchase a site license or a world-wide license, accordingly.

By installing and using the SOFTWARE you are agreeing to the above terms.

User License Agreement CUSTOM-DB Student Information System 4.03 FREE version

IMPORTANT NOTICE
This End User License Agreement ("EULA") is a legal agreement between YOU as Licensee and Custom-DB for the CUSTOM-DB Student Information System 4.03 FREE version product identified above ("the FREE VERSION"). By installing, downloading, copying, or otherwise using the FREE VERSION, YOU agree to be bound by the terms of this EULA. If YOU do not agree to the terms of this EULA, promptly return the unused FREE VERSION or delete any copies of this FREE VERSION in your possession. The copyright in the FREE VERSION and its documentation is owned by Custom-DB. Subject to the terms of this EULA, YOU are granted a non-exclusive right for the duration of the EULA to use the FREE VERSION. YOU do not acquire ownership of copyright or other intellectual property rights in any part of the FREE VERSION by virtue of this EULA. Your use of this FREE VERSION indicates your acceptance of this EULA and warranty.

LICENSE GRANT
Custom-DB grants you a non-exclusive license to test this FREE VERSION in FREE VERSION version, and any associated documentation ("The FREE VERSION"), as indicated herein.

You MAY: (a) install and use the FREE VERSION for evaluation purpose only during 30 days after the installation; (b) create records using the FREE VERSION and save them for evaluation purpose only; (c) Redistribute the FREE VERSION by any mean (CDROM, Cover Disc, Web site...) as long as you do change the original package and distribute only the original install package (see "distribution").

Distribution of the FREE VERSION Version
You are hereby licensed to make as many copies of the FREE VERSION as you wish and distribute it to anyone provided that all files are intact. You must distribute the install form of the FREE VERSION (you must distribute the INSTALL file, not the files resulting of an installation). You are not allowed to sell the FREE VERSION (except for shipment and handling charges). Press is authorized to distribute it on any Cover Disk, CD-ROM without permission from Custom-DB. Shareware Web sites are authorized to distribute it as a download file (hosted or linked to Custom-DB site) without permission from Custom-DB.

SUPPORT AND MAINTENANCE
Custom-DB provides support on the FREE VERSION by mean of online help, documentation, tutorials, knowledge-base and all other article freely accessible on Custom-DB websites and product documentation. Email-based support is provided on Custom-DB website for licensees of the full version of the product.

During use of the FREE VERSION you may also report any FREE VERSION problem to Custom-DB. If Custom-DB determines that a reported reproducible error in the FREE VERSION exists and significantly impairs the usability and utility of the FREE VERSION, Custom-DB agrees to use reasonable commercial efforts to correct or provide a usable work-around solution in an upcoming maintenance release or update, which is made available at certain times at Custom-DB's sole discretion.

TERM
This License is effective until terminated. You may terminate it at any time by destroying the FREE VERSION, together with all copies thereof. This License will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy the FREE VERSION, together with all copies thereof.

COPYRIGHT/OWNERSHIP
This FREE VERSION and its source code are proprietary products of Custom-DB and are protected by copyright and other intellectual property laws. The FREE VERSION is licensed and not sold. You acquire only the right to use the FREE VERSION and do not acquire any rights, express or implied, in the FREE VERSION other than those specified in this License. Interaction or inclusion of parts of the FREE VERSION in third-party products does not mean that the FREE VERSION, or any portion of it, is part of these products nor property of the companies owning these products.

DISCLAIMER OF WARRANTIES
Custom-DB DOES NOT WARRANT THAT: (A) THE OPERATION OF THE FREE VERSION WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT FUNCTIONS CONTAINED IN THE FREE VERSION WILL OPERATE IN COMBINATIONS OF FREE VERSION OR HARDWARE THAT MAY BE SELECTED FOR USE BY YOU; (B) THE FREE VERSION WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (C) ANY RESULTS, OUTPUT, OR DATA GENERATED BY THE FREE VERSION WILL BE FUNCTIONAL, COMPLETE OR RELIABLE. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW, Custom-DB SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, RELATING TO THIS AGREEMENT AND THE FREE VERSION AND ANY SERVICES PROVIDED TO YOU, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

DISCLAIMER OF DAMAGES
THE LIABILITY OF Custom-DB UNDER THIS AGREEMENT, REGARDLESS OF THE BASIS OF LIABILITY OR THE FORM OF ACTION, WILL NOT EXCEED THE FEES PAID TO Custom-DB FOR THE PORTION OF THE FREE VERSION OR SERVICES CAUSING THE LIABILITY. IN NO EVENT WILL Custom-DB BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, WHETHER FOR BREACH OF CONTRACT, NEGLIGENCE OR OTHERWISE, AND REGARDLESS OF WHETHER Custom-DB HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES, INCLUDING WITHOUT LIMITATION, THE USE OR INABILITY TO USE THE FREE VERSION, OR ANY RESULTS OBTAINED FROM OR THROUGH THE FREE VERSION.

GOVERNING LAW - JURIDICTION
This Agreement shall be construed, interpreted, and applied in accordance with the American Law. The Courts of United States, America shall be the exclusive forum and venue to resolve any and all disputes arising out of or relating to this Agreement.
